CARREKER AND METAVANTE ANNOUNCE iCom AGREEMENT

Agreement to Provide Regional and Community Banks with Proven, Profit-Enhancing Cash Inventory Management Technology

DALLAS and MILWAUKEE (January 7, 2003) — Carreker Corporation (Nasdaq: CANIE), a leading provider of technology and consulting solutions for the financial industry, and Metavante Corporation, the financial technology subsidiary of Marshall & Ilsley Corporation (NYSE: MI), today announced an agreement under which Carreker will license its Integrated Cash Operations Modules™ (iCom) software to Metavante. Metavante will offer and distribute the iCom solution to its financial institution clients in the first quarter of 2003.

Carreker’s Internet-enabled, enterprise wide iCom solution helps banks and their service providers effectively manage cash levels for branches, ATMs, vaults, and third-party cash depots. According to Brian Evetts, managing director of Carreker’s Cash & Logistics solutions, “iCom ties each element of the cash network together, giving operators the ability to optimize their cash supply chain from end-to-end. iCom users have historically been able to reduce overall cash inventories by 20-40 percent, while improving transportation schedules, lowering cash handling costs, and increasing the overall productivity and efficiency of the cash inventory management process.”

iCom is a scalable ASP-supported technology, making it a cost-effective tool for any size institution. iCom, along with Carreker’s ReserveLink™ and FraudLink PC™ solutions, has been exclusively endorsed by the American Bankers Association as a solution that helps banks, particularly mid-sized and community banks, improve profitability to compete more effectively in today’s marketplace.
